PalenquePH App Terms of Use

These App Terms of Use (the “App Terms”) govern your access to and use of the Palenque mobile applications and related app-based services operated by PALENQUE PH OPC (“PalenquePH,” “Palenque,” “we,” “us,” or “our”).

These App Terms supplement the PalenquePH Terms & Conditions, Privacy Policy, Refund, Replacement & Cancellation Policy, and other applicable policies. If you use a Vendor or Rider application, the applicable Vendor Agreement, Rider Agreement, KYC Policy, and related role-specific policies also apply.

Where there is a conflict between these App Terms and a more specific agreement governing a particular role or transaction, the more specific agreement will apply to that matter, subject to applicable law.

1. Acceptance of These App Terms

You may be required to accept these App Terms electronically through an affirmative action such as selecting “I Agree,” “Accept,” “Register,” “Submit,” or another clearly identified acceptance mechanism after being given access to these App Terms.

PalenquePH may maintain electronic records reasonably necessary to evidence acceptance, including the version accepted, date and time, account information, and other relevant electronic records.

Electronic acceptance and electronic records shall be recognized in accordance with applicable Philippine law, including Republic Act No. 8792, or the Electronic Commerce Act of 2000, and applicable rules concerning electronic documents and evidence.

2. Account Eligibility and Registration

You must provide accurate, current, and complete information when creating or using an account and must keep material account information updated.

You are responsible for maintaining the confidentiality and security of your login credentials and for activity occurring through your account to the extent permitted by law.

Account eligibility, age requirements, parental or guardian requirements, and transaction capacity are governed by the applicable PalenquePH Terms & Conditions and Philippine law.

You must promptly report suspected unauthorized access or misuse of your account.

3. Permitted Use of the App

You may use the App only for lawful purposes and in accordance with these App Terms, applicable PalenquePH policies, and applicable law.

You must not:

• Use the App for fraudulent, deceptive, abusive, or unlawful activity
• Interfere with or attempt to disrupt the App, servers, security, or network
• Attempt unauthorized access to accounts, systems, or data
• Use automated tools, scraping, bots, or similar means except where expressly authorized
• Manipulate orders, payments, promotions, referrals, ratings, location, or delivery status
• Impersonate another person or misrepresent your identity or authority
• Upload malware, harmful code, or content that violates applicable law or third-party rights

4. Marketplace Orders and Transactions

Palenque is a multi-vendor marketplace. Products are generally offered by participating Vendors, while PalenquePH provides marketplace, ordering, payment-handling, support, and related services.

Product availability, pricing, fees, taxes, delivery charges, promotions, substitutions, and other transaction details will be shown through the App, checkout, or applicable order flow where relevant.

Orders, cancellations, substitutions, refunds, replacements, and disputes are subject to the PalenquePH Terms & Conditions, Refund, Replacement & Cancellation Policy, and applicable law.

PalenquePH does not use a post-order variable-weight price adjustment merely because the actual weight of a fresh product differs from an estimate. Products commonly sold by weight should be offered through standardized weight or pack-size options shown in the applicable listing.

5. Payments

Payments may be processed through PalenquePH-approved third-party payment providers. Available payment methods will be displayed through the applicable checkout or payment interface.

You are responsible for providing accurate payment and billing information and for authorizing transactions made through your selected payment method.

Payment providers may have their own terms, privacy notices, security controls, and processing requirements.

Cash on Delivery or any other payment method applies only where that option is actually offered for the relevant order.

6. Delivery and Rider Services

Delivery availability, estimated times, service areas, fees, and fulfillment arrangements may vary by location, Vendor, product type, Rider availability, traffic, weather, safety conditions, and other operational circumstances.

Customers must provide accurate delivery information and reasonable access or instructions necessary to complete delivery.

Riders are subject to applicable Rider agreements, safety rules, and operational requirements. The legal characterization of any Rider relationship depends on the applicable agreement, actual arrangement, and applicable law.

Safety takes priority over delivery speed. Delivery estimates are not guarantees unless expressly stated otherwise.

7. Location and Device Permissions

Certain App features may require access to device functions such as location, notifications, camera, storage, or authentication services.

Where location information is processed, it may be used for legitimate purposes such as delivery coordination, navigation, dispatch, order tracking, safety, fraud prevention, and support, as further described in the PalenquePH Privacy Policy.

You may control certain device permissions through your device settings, although disabling a permission may affect features that depend on it.

8. Vendor and Rider Applications

Access to Vendor or Rider functionality may require separate registration, verification, approval, and acceptance of additional agreements or policies.

Submission of an application does not guarantee activation. PalenquePH may require identity, business, licensing, vehicle, tax, payout, safety, or other verification depending on the applicable role.

Vendor and Rider accounts may be restricted, suspended, or deactivated in accordance with the applicable Vendor Agreement, Rider Agreement, KYC policy, and other role-specific terms.

9. Promotions, Coupons and Referral Features

Promotions, coupons, referral rewards, wallet credits, incentives, and similar benefits are subject to their specific terms, eligibility requirements, availability, expiration rules, and anti-abuse controls.

PalenquePH may deny, reverse, or restrict a promotional benefit where reasonably necessary because of fraud, manipulation, duplicate use, ineligibility, technical error, or another violation of the applicable promotional terms or law.

10. Intellectual Property

The App, PalenquePH branding, software, interface elements, designs, text, documentation, and other PalenquePH-owned content are protected by applicable intellectual-property laws, subject to third-party rights.

You are granted a limited, non-exclusive, non-transferable, revocable right to use the App for its intended lawful purpose, subject to these App Terms and applicable role-specific agreements.

You must not copy, reverse engineer, modify, distribute, sublicense, sell, or commercially exploit protected App components except where expressly permitted by law or written authorization.

11. Privacy and Personal Data

PalenquePH processes personal data in accordance with Republic Act No. 10173, or the Data Privacy Act of 2012, its Implementing Rules and Regulations, applicable National Privacy Commission issuances, and the PalenquePH Privacy Policy.

Please review the Privacy Policy for information concerning categories of data, purposes of processing, data sharing, location information, retention, security, and data-subject rights.

12. App Availability, Updates and Third-Party Services

PalenquePH may update, maintain, modify, suspend, or discontinue App features where reasonably necessary for operational, security, legal, technical, or commercial reasons.

Some App features may depend on third-party services such as payment providers, maps, authentication providers, notification services, app stores, or network providers. Availability of those services may be outside PalenquePH’s direct control.

You may be required to install reasonable App updates needed for security, compatibility, legal compliance, or continued functionality.

13. Suspension and Termination

PalenquePH may restrict, suspend, or terminate access to the App or particular features where reasonably necessary because of fraud, security concerns, unlawful activity, material violation of these App Terms or applicable policies, misuse of the Platform, regulatory requirements, or other material risks.

Where appropriate and reasonably practicable, PalenquePH may provide notice or an opportunity to address a violation before permanent termination. Immediate action may be taken where reasonably necessary to protect users, PalenquePH, the public, or the integrity of the Platform.

Termination does not automatically cancel or extinguish outstanding orders, payments, refunds, disputes, liabilities, or other obligations that arose before termination.

14. Disclaimers and Limitation of Liability

The App is provided subject to applicable law and may occasionally experience interruptions, delays, technical errors, maintenance, or third-party service failures.

To the extent permitted by law, PalenquePH does not guarantee uninterrupted or error-free operation of every App function at all times.

Nothing in these App Terms excludes or limits liability, warranties, remedies, or consumer rights that cannot lawfully be excluded or limited under applicable Philippine law.

Responsibility for a particular loss, defective product, delivery incident, payment issue, or other dispute will be determined according to the facts, applicable agreements, and applicable law rather than by a blanket exclusion of liability.

15. Changes to These App Terms

PalenquePH may amend these App Terms where reasonably necessary for operational, commercial, technical, legal, regulatory, privacy, security, or safety reasons.

Material changes will be communicated through the App, registered email address, or another reasonable electronic means where appropriate.

Where required by applicable law or where PalenquePH determines appropriate, renewed affirmative acceptance may be required. Continued App use alone will not be relied upon as the sole acceptance mechanism for a material contractual change where affirmative acceptance is required by law or reasonably appropriate.

16. Governing Law and Disputes

These App Terms are governed by the laws of the Republic of the Philippines.

Users are encouraged to contact PalenquePH support first to attempt to resolve concerns through the applicable support or dispute process.

Subject to mandatory jurisdictional rules and applicable consumer-protection law, disputes requiring court proceedings may be brought before the proper courts of Taguig City, Philippines.

Nothing in this section prevents a user from exercising rights or remedies before a competent government agency, tribunal, or court where provided by law.

17. Severability

If any provision of these App Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
