PalenquePH Vendor Agreement

By registering as a vendor on Palenque, you agree to the terms and conditions below. Please read carefully. Acceptance of this agreement is required to activate your seller account. This Vendor Agreement governs all vendors operating on the Palenque platform.
1. Definitions
- Marketplace - The PalenquePH platform(website + mobile app).
- Vendor - A business, store, or individual selling products on the marketplace.
- Customer - Buyer placing and order.
- Rider - Independent contractor performing deliveries.
- PalenquePH Services - Listing, ordering system, payment handling, support, rider dispatch.
2. Nature of Relationship
By digitally accepting this Agreement, Vendor acknowledges that:- Palenque is a marketplace platform, not a reseller.
- Vendor is an independent business responsible for their own products.
- No employment, partnership, or joint venture is created.
This agreement does not create employment, partnership, or joint venture.
3. Digital Acceptance and Concent
Vendor agrees that:- Digital registration constitutes full legal acceptance of this Agreement.
- All transactions and notices may be delivered electronically.
- The Vendor Agreement may be updated periodically, and continued use of the platform constitutes acceptance of updated terms.
- Palenque will store the timestamp, IP address, and device information for legal compliance.
This complies with RA 8792 (E-Commerce Act), which recognizes electronic signatures and electronic contracts as legally valid.
4. Vendor Eligibility and KYC
Vendor must submit:- Valid Government ID.
- Business permits (if applicable).
- Address Verification.
- Bank/Gcash details.
- DTI/SEC registration (optional for micro sellers).
PalenquePH may suspend or reject applications that fail KYC.
5. Product Listings
Vendor responsibilities;- Accurate description and photos.
- Freshness Standards.
- Weight accuracy.
- Declaration of allergens.
- Price transparency and taxes.
- Illegal goods.
- Counterfeits.
- Unregistered Pharmaceuticals.
- Dangerouse or restricted items.
PalenquePH may delist items without prior notice.
6. Order Processing
Vendor agrees to:- Accept orders in real-time.
- Prepare items within committed preparation time.
- Follow fresh food and hygiene standards.
- Support riders during pickup.
- Account penalties.
- Reduced visibility.
- Temporary or permanent suspension.
7. Variable Weight Products
For meats, vegetables, fruits, and similar items:- Final price may vary based on actual weight.
- Vendor must disclosed weight discrepancy range.
- Vendor must record actual weight before handoff.
- Customer will be charged/refunded accordingly.
PalenquePH provides the system for weight adjustments if applicable.
8. Packaging and Hygiene
Vendor must follow:- Food-safe packaging.
- Leak-proof containers.
- Proper labeling.
- Temperature control (hot/cold items).
Riders may refuse pickup if packaging is unsafe and Palenque may suspend or remove vendors violating standards.
9. Payment and Fees
Payout Cycle: Weekly or bi-weekly.PalenquePH collects customer payments and remits Vendor earnings less:
- Marketplace fees.
- Disputes applied.
- Refunds and disputes.
- Chargebacks (if vendor is at fault).
- All required KYC documents have been submitted and verified.
- Bank/GCash account has been validated.
- No active disputes or pending refund investigations.
- Vendor account is in good standing.
- Once weekly, every Monday, covering orders completed and cleared from the prior period.
- Subject to clearing periods, refunds, and dispute checks.
- New vendor accounts.
- High-risk categories (fresh produce, meats, seafood, cooked food).
- Vendors with rising refund or dispute rates.
- Accounts flagged by fraud detection systems.
- Unusual order spikes occur.
- Suspicious behavior is detected
- Chargebacks or refund claims increase.
- Multiple customer complaints are reported.
- KYC inconsistencies arise.
- Vendor fails to comply with platform standards.
- Approved customer refunds
- Chargebacks.
- Weight adjustments (fresh goods).
- Penalties for cancellations or order mishandling.
- Platform violations (as applicable).
- Vendor's balance may enter negative status
- Vendor must settle the amount within 7 days.
- Palenque may suspend or block withdrawals until fully settled.
- Continued negative balance may lead to account termination.
- Use an account under their personal or business name
- Ensure accuracy of account details.
- Update details immediately upon change.
- Fraud investigation is ongoing.
- Customer safety issues arise.
- Regulatory compliance questions appear.
- Vendor receives repeated complaints.
- Evidence of food safety violations emerges.
- Withhold payouts for up to 30 days.
- Deduct all pending refunds, chargebacks, and penalties
- Release only the final cleared balance.
- Deny payout entirely if fraud is proven.
- They have read and accepted this Withdrawal Policy.
- They agree that Palenque may hold, deduct, offset, or delay payouts as described
- They agree that Palenque’s risk assessments and fraud-prevention decisions are final.
9A. Vendor Withdrawal Policy
1. Payout Eligibility
A Vendor becomes eligible for payout only when:Palenque reserves the right to deny or delay withdrawals if KYC requirements fail validation or appear inconsistent.
2. Payout Schedule
Payouts are processed:Palenque may adjust payout frequency as needed for operational stability.
3. Clearing Period
To protect customers and the platform, a 7–14 day clearing period may apply to:During this period, payout requests may be temporarily held.
4. Fraud and Risk Holds
Palenque may place a temporary payout hold if:Vendor will be notified of the reason for the hold.
5. Offset of Refunds, Chargebacks & Penalties
Before payout, the following will be automatically deducted:If the Vendor’s balance becomes negative, the Vendor must settle the deficit before withdrawing funds.
6. Negative Balance Policy
If refunds, cancellations, or penalties exceed vendor earnings:7. Bank / GCash Account Verification
Vendor must:Palenque is not liable for failed transfers due to vendor error.
8. Withdrawal Freezes for Investigation
Palenque may temporarily freeze withdrawals if:Palenque may withhold funds until the investigation concludes.
9. Termination & Final Payout
If the Vendor account is terminated, Palenque may:Fraudulent vendors forfeit all pending payouts.
10. Acceptance of the Withdrawal Policy
By creating a Vendor Account and using the platform, the Vendor acknowledges:10. Refunds, Returns and Disputee
Vendor agrees to:- Cooperate with investigations.
- Provide proof of freshness/weighting.
- Accept returns/refunds where vendor error is clear.
If PalenquePH determines vendor fault, charges may be reversed.
11. Delivery and Logistics
Riders are independent contractors and not employees Vendor must:- Release orders promptly.
- Support riders during pickup.
- Provide accurate pickup notes.
12. Penalties
PalenqePH may impose:- Suspension.
- Delisting.
- Fines.
- Permanent removal.
- Faudulent activities.
- Poor quality.
- Repeated cancellations.
- Misrepresentations.
- Violations of laws/regulations.
13. Data Privacy
Vendor agrees to:- Comply with Data Privacy Act.
- Protect customer data.
- Use information only for order fulfillment.
- Not export data outside the platform.
PalenquePH is the Personal Information Controller. Vendor is a Personal Information Processor.
14. Intellectual Property
Vendor retains ownership of:- Their brand.
- Product content they create.
- Platform.
- App.
- Branding.
- Content created by PalenquePH.
15. Termination
PalenquePH may terminate:- For violations.
- For fraud.
- For breach of KYC.
- For failure to comply with standards.
Vendor may terminate anytime with 14 days’ notice.
16. Governing Law and Venue
Republic of the Philippines.Courts of Taguig City
17. Digital Signature Effect
By registering or using the Vendor Dashboard, Vendor agrees that this Agreement has the same legal effect as a physically signed contract under:- RA 8792 (E-Commerce Act).
- Civil Code Articles on consent.
- Rules of Evidence on electronic documents.
No Physical Signature required
As is standard in online marketplaces, this Agreement is immediately enforceable upon digital acceptance and does not require physical or scanned signatures.
